Terms of Service

1. Introduction
Welcome to PayGlue.
These Terms of Service ("Terms") govern your access to and use of the PayGlue platform, website, dashboard, integrations, and related services (collectively, the "Services").
By accessing or using PayGlue, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Services.
2. About PayGlue
PayGlue is a software platform that connects Ghost CMS with supported third-party payment providers and automatically synchronizes memberships, subscriptions, entitlements, and access permissions.
PayGlue acts solely as a synchronization and automation layer. PayGlue is not a payment processor, merchant of record, bank, or financial institution.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. By using PayGlue, you represent and warrant that you meet these requirements.
4. Accounts and Registration
To use certain features of PayGlue, you may be required to create an account. You agree to:
- Provide accurate information
- Keep your account information up to date
- Maintain the security of your account
- Protect your login credentials
You are responsible for all activities occurring under your account.
5. Customer Responsibilities
Customers are responsible for:
- Maintaining a valid Ghost CMS installation
- Maintaining valid payment provider accounts
- Providing accurate API credentials
- Configuring entitlement and access rules
- Managing customer relationships
- Complying with applicable laws and regulations
- Maintaining backups of their own content and data
PayGlue is not responsible for incorrect configurations, invalid credentials, customer errors, or actions performed within third-party services.
6. Third-Party Services
PayGlue integrates with third-party services including, but not limited to: Ghost CMS, Stripe, Polar, Lemon Squeezy, Cloudflare, and Google.
These services are operated independently of PayGlue. Your use of such services is governed by their respective terms and policies. PayGlue is not responsible for the availability, functionality, security, or actions of third-party providers.
7. Payment Processing
PayGlue does not process payments. All payments are processed directly by the selected payment provider. PayGlue does not collect, process, store, or have access to:
- Credit card numbers
- Bank account information
- Payment credentials
- Other sensitive payment information
PayGlue only processes subscription metadata and webhook events necessary to synchronize memberships and access permissions.
8. Fees and Billing
Certain features of PayGlue may require payment. Pricing is displayed on our website and may change from time to time. Unless otherwise stated:
- Fees are charged in advance
- Fees are non-refundable
- Taxes are the customer's responsibility
If a payment provider declines or reverses a payment, PayGlue may suspend access until payment issues are resolved.
9. Subscription Changes and Cancellation
Customers may cancel subscriptions at any time through the applicable billing provider. Cancellation will stop future billing but does not automatically entitle customers to refunds for previously paid periods unless required by law.
10. Intellectual Property
PayGlue and all related software, code, branding, documentation, designs, and content remain the exclusive property of PayGlue and its owner. Customers retain ownership of:
- Their content
- Their customer data
- Their Ghost publications
- Their payment provider accounts
Nothing in these Terms transfers ownership of intellectual property rights.
11. Data Protection
The processing of personal data is governed by ourPrivacy Policy.
By using PayGlue, you acknowledge that personal data may be processed as described in our Privacy Policy.
12. Service Availability
PayGlue is provided on an "as available" and "as is" basis. While we strive for reliability and availability, we do not guarantee:
- Uninterrupted service
- Error-free operation
- Continuous availability
- Compatibility with all third-party services
Scheduled maintenance, outages, provider failures, and internet disruptions may affect service availability.
13. Event Processing and Webhook Delivery
PayGlue is designed to process subscription and membership events reliably and automatically. To improve reliability, PayGlue may:
- Retry failed webhook deliveries
- Maintain replay queues
- Deduplicate duplicate events
- Process events asynchronously
- Provide event logs and processing history
However, PayGlue does not control the generation, delivery, availability, or accuracy of webhook events produced by third-party providers.
Customers acknowledge that PayGlue depends on external systems, including payment providers, Ghost CMS, cloud infrastructure providers, and internet connectivity.
While PayGlue makes commercially reasonable efforts to process events correctly, PayGlue cannot guarantee that all third-party webhook events will always be delivered, received, or processed without interruption.
Customers remain responsible for monitoring their own payment providers, subscriptions, memberships, customer communications, and business operations.
14. Replay and Recovery Features
Certain subscription plans may include replay, retry, recovery, or event history functionality.
These features are provided as operational tools to improve reliability and troubleshooting.
PayGlue does not guarantee that replay or recovery functionality can restore every failed event, particularly where failures originate from third-party systems, expired credentials, deleted resources, provider outages, or customer misconfiguration.
Replay and recovery features are provided on a best-effort basis.
15. Limitation of Liability
To the maximum extent permitted by law, PayGlue shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Lost revenue
- Lost business opportunities
- Loss of data
- Third-party service failures
PayGlue's total liability arising out of or relating to the Services shall not exceed the total amount paid by the customer to PayGlue during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless PayGlue from any claims, damages, liabilities, costs, and expenses arising from your use of the Services, your violation of these Terms, your content, your business activities, or your customers.
17. Suspension and Termination
PayGlue may suspend or terminate access to the Services if:
- These Terms are violated
- Fraudulent activity is detected
- Abuse of the Services occurs
- Required payments are not made
Termination does not affect any rights or obligations accrued prior to termination.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. If legally permissible, the exclusive place of jurisdiction shall be Duisburg, Germany.
19. Changes to These Terms
We may modify these Terms from time to time. The latest version will always be published on our website. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
